Conditions of use of the Listto application and its WhatsApp bot.

Purpose and acceptance

These Terms govern access to and use of Listto, including its WhatsApp assistant for generating estimates, invoices and related CRM management. By registering, using the bot or using the platform, you fully accept these Terms. If you do not agree, you must not use the service.

Service ownership

The legal entity behind Listto is currently in the process of incorporation. Once completed, the company name, tax ID, full registered address and registry details will be published.

In the meantime, identifying details of the responsible owner are provided upon request by email at admin@akaen.com.

Service description

Listto is a digital solution for professionals and businesses that allows you to create and manage estimates and invoices, including a conversational flow via WhatsApp (text and audio), storage of customer data and commercial follow-up tools. The service may evolve and add or remove features at any time.

Usage requirements and account

You must be of legal age and have legal capacity to contract. You are responsible for the accuracy of the data you provide and for safeguarding your credentials, devices and access linked to your account or WhatsApp number. Any use made through your access will be deemed made by you, unless proven otherwise.

Permitted and prohibited use

You agree to use Listto in accordance with the law, good faith and these Terms. It is prohibited to: use the service for unlawful or fraudulent purposes; introduce malware or attempt unauthorised access; reverse engineer or attack the system; impersonate identities; and process third-party personal data without a sufficient legal basis.

Pricing, plans and billing

Listto may offer free and paid plans. Current prices, limits and features are shown at any given time on the website or in the applicable commercial offer. Unless otherwise stated, amounts do not include taxes. Non-payment authorises Listto to suspend or limit access until regularisation.

Availability, support and changes

Listto will make reasonable efforts to maintain service continuity, but does not guarantee uninterrupted availability. Downtime may occur due to maintenance, technical incidents or external causes. Listto may modify features, interfaces, limits, plans or integrations when necessary for operation or service improvement.

AI, output accuracy and user responsibility

Listto may use automation and AI systems to draft or structure information. These outputs may contain errors, omissions or inaccuracies. You are solely responsible for reviewing and validating content before sending or using it with third parties, especially regarding tax, accounting, commercial and contractual matters. Listto does not act as a tax, accounting or legal adviser.

WhatsApp and third-party integrations

Operation through WhatsApp depends on third-party services (Meta/WhatsApp and, where applicable, other technology providers). Listto does not control or guarantee their availability, policies or technical changes. Use of such services also implies acceptance of their terms and privacy policies.

Personal data and your customers' data

Regarding the data you enter about your own customers (for example, company name, tax ID, address and contact details), you act as data controller and Listto as data processor to provide the service. You must ensure you have a legal basis to process and upload that data to the platform, and that you comply with your duty to inform data subjects.

Intellectual property

The platform, its design, code, trademarks, logos and documentation are owned by Listto or its licensors. These Terms do not grant you intellectual property rights, except for a limited, non-exclusive and revocable licence to use the service according to its purpose.

Suspension, cancellation and termination

Listto may temporarily suspend or terminate access in case of breach of these Terms, fraudulent use, security risk or legal requirement. You may stop using the service at any time. Termination does not release payment obligations or pending liabilities.

Limitation of liability

To the maximum extent permitted by law, Listto shall not be liable for indirect damages, loss of profits, data loss or loss of opportunities arising from use of, or inability to use, the service. In any case, Listto's total liability to the user shall be limited to the amounts actually paid by the user in the 12 months preceding the event giving rise to the claim, except in cases of wilful misconduct or gross negligence.

Changes to these terms

Listto may update these Terms to adapt to legal, technical or business changes. We will publish the current version on this page indicating its update date. Continued use of the service after changes take effect implies acceptance of those changes.

Applicable law and jurisdiction

These Terms are governed by Spanish law. For any dispute, the parties submit to the Courts of Sabadell (Barcelona), unless mandatory consumer regulations establish a different jurisdiction.
